Terms and Conditions

GENERAL TERMS AND CONDITIONS OF SALE AND WARRANTY
All orders accepted by BlueSpec/or conditions attached to the purchaser's order shall be deemed to be superseded by these General Terms and Conditions of Sale.
1. Alterations and Variations - These General Terms and Conditions of Sale shall not be altered or varied unless specifically agreed to by   BlueSpec in writing.
2. Acceptance of Order –   BlueSpec reserves the right of acceptance or rejection of any order.
3. Price - Prices in the pricelist may be changed at any time without prior notice. Prices confirmed by  BlueSpec  in a written quotation shall be valid for order placement 

    within 30 days and delivery within normal lead times. Unless otherwise stated in writing, prices are excluding V.A.T.

4. Delivery - Delivery is subject to the prompt receipt by  BlueSpec of a technically and commercially clear order. Delivery dates are subject to confirmation by 

     BlueSpec.  BlueSpec will make every effort to deliver on the dates promised, however,  BlueSpec reserves the right to reschedule delivery dates. The 

    purchaser shall take delivery when the goods and / or services are available.  BlueSpec reserves the right to make partial deliveries.

5. Payment - Where  BlueSpec has granted the purchaser credit terms, payment is due or subject to formal written separately negotiated terms and conditions or 

    within 30 days of the date of invoice, without retention of any kind. Partial deliveries may be separately invoiced. Where credit terms have not been granted, payment 

    of deposit will vary from sixty% (60%) to eighty%

    (80%) depending on the project. In some cases we might require full upfront payments on specialized custom projects.

6. Risk and Ownership - Risk in the goods shall pass to the purchaser on the goods leaving the   BlueSpec premises. Ownership of the goods shall pass to the purchaser

    only on full payment of the goods.

7. Goods Incorrectly Supplied –   BlueSpec must be notified within seven days of receipt of any goods, which have been supplied incorrectly. Goods supplied correctly to 

    the purchaser's written order are not returnable except with the express written approval of   BlueSpec, which will be strictly subject to a 10% administrative levy.

8. Loss Suffered –    BlueSpec shall not be liable for any damages suffered by a purchaser of any product correctly supplied whether such damages are actual, incidental 

    or consequential.

9. Specifications –   BlueSpec reserves the right to change specifications without notice due to product improvements, changes to manufacturing methods or to correct

    printing errors.

10. Force Majeure – BlueSpec shall not be in default of performance of the order if delayed, hindered or prevented by Force Majeure. Force Majeure shall be any 

      force beyond the control of   BlueSpec which could not reasonably have been foreseen and guarded against. Force Majeure includes, but is not limited to, acts 

      of God, strikes, lockouts, lockdowns, weather, fires, riots, civil commotion or civil unrest, interference by civil or military authorities, compliance with new or changed

      regulations or orders of any government authorities and acts of war whether declared or undeclared.

11. Personal liability - Should an individual place an order on behalf of a company or close corporation, such individual shall bind himself as surety and co-principal 

      debtor on behalf of such company or close corporation for the due payment by the company or close corporation of the invoice price reflected should the company or 

      close corporation fall into default.

12. Cancellation of Order –   BlueSpec reserves the right to terminate the order and not deliver any uncompleted portion of the sale if the purchaser:
(a) commits a breach of any of these General Terms and Conditions of Sale.
(b) being an individual dies or is provisionally or finally sequestered or surrenders his estate.
(c) being a partnership is dissolved.
(d) being a company is placed under provisional or final liquidation or judicial management.
      Upon termination of the order for any reason whatsoever   BlueSpec shall be entitled to:
(a) full payment for goods delivered and for any goods partially manufactured or in stock which have been specially manufactured
(b) to take possession of any goods not fully paid for.
(c) to take any further legal action for damages suffered by   BlueSpec as a result of the order being terminated.
13. Warranty - The goods are subject to a Limited Warranty for 12 months. The warranty covers all repairs / replacement against all parts, inclusive of Labour costs, provided 

      that the product has not been tampered with or damaged as a result of abuse and / or neglect.

14. Governing Law - These General Terms and Conditions of Sale shall, in all respects, be interpreted according to the laws of the Republic of South Africa.
15. Headings - Headings in these Terms and Conditions of Sale are for convenience only and shall not be used in the thereof.
